Welcome to Valenze Systems Ltd. (“Valenze Systems”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website, software platforms, automation tools, and related digital marketing services (collectively, the “Services”).

By accessing or using any part of our Services, you agree to comply with and be bound by these Terms, our Privacy Policy and all applicable laws and regulations. If you do not agree with these Terms, you should not access or use our Services.


1. About Valenze Systems

Valenze Systems Ltd. is a Canadian technology company that provides custom software solutions, CRM and automation systems, and digital marketing services to clients across Canada and abroad.

Our Services may include, but are not limited to:

  • Software licensing and platform access (including GoHighLevel and proprietary systems)

  • Website design and hosting

  • CRM automation setup and integrations

  • Marketing campaigns, analytics, and strategy

  • Consultation, support, and training


2. Eligibility

You must:

  • Be at least 18 years old and legally capable of entering into a binding contract.

  • Provide accurate and complete registration, billing, and contact information.

  • Use the Services for lawful business purposes only.

We reserve the right to suspend or terminate accounts that provide false information or misuse our Services.


3. Account Registration and Security

To access certain features, you may need to create an account. You agree to:

  • Keep your login credentials confidential.

  • Notify us immediately of any unauthorized use or suspected breach.

  • Accept full responsibility for all activity under your account.

Valenze Systems is not liable for any loss or damage resulting from failure to maintain account security.


4. Payments and Subscriptions

Many of our Services operate on a subscription or project-based billing model.

4.1 Subscription Fees

  • Fees are billed in accordance with your selected plan (monthly, quarterly, or annually).

  • Payments are processed securely via approved third-party processors.

  • You authorize Valenze Systems to charge your payment method for recurring subscription fees.

4.2 Late Payments

  • Accounts with overdue payments may be suspended or terminated after notice.

  • Interest may accrue on overdue amounts at the rate permitted by law.

4.3 Cancellations

  • You may cancel at any time by contacting [email protected]

  • Cancellation will take effect at the end of your current billing cycle.

  • No refunds are provided for partial billing periods unless otherwise specified in writing.


5. Intellectual Property

All content, code, designs, documentation, and software provided by Valenze Systems remain our exclusive intellectual property or that of our licensors.

You may not:

  • Copy, distribute, or reverse-engineer any part of the Services;

  • Use our intellectual property for competing products or services;

  • Remove or obscure any copyright or proprietary notices.

Clients retain ownership of their own content, data, and trademarks submitted to the platform.


6. Acceptable Use

You agree not to:

  • Upload or distribute malicious code or spam through our systems.

  • Attempt unauthorized access to our servers, APIs, or data.

  • Use the Services for unlawful, deceptive, or harmful purposes.

We reserve the right to suspend or terminate access for violations of these standards without refund.


7. Third-Party Integrations

Some Services integrate with third-party platforms such as GoHighLevel, Google, Meta, Twilio, or Stripe.
Use of these integrations is subject to their own terms and privacy policies.

Valenze Systems is not responsible for outages, errors, or data loss resulting from third-party systems.


8. Data Protection and Privacy

Your personal information is collected and processed according to our Privacy Policy in compliance with PIPEDA and applicable data protection laws.

By using our Services, you consent to the collection, storage, and use of your data for:

  • Account creation and management

  • Service delivery and billing

  • System improvements and security

  • Marketing communications (where consented)

We do not sell or rent your information to third parties.


9. Confidentiality

Both parties agree to keep all proprietary or sensitive information exchanged during the course of business strictly confidential.

This includes (but is not limited to) client data, system access credentials, marketing strategies, pricing, and internal documentation.
Confidentiality obligations remain in effect indefinitely, even after termination of the business relationship.


10. Service Availability and Updates

We strive to provide continuous access to our Services, but:

  • We do not guarantee uninterrupted or error-free operation.

  • Temporary interruptions may occur for maintenance or upgrades.

  • Features may be modified, added, or discontinued without notice.

Valenze Systems is not liable for downtime or data loss resulting from such maintenance or technical issues.


11. Limitation of Liability

To the fullest extent permitted by law:

  • Valenze Systems and its affiliates are not liable for any indirect, incidental, or consequential damages arising from your use of our Services.

  • Our total liability for any claim is limited to the amount paid to us in the preceding three (3) months of service.

  • We are not responsible for losses caused by client misuse, third-party integrations, or external system failures.


12. Warranties and Disclaimers

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

Valenze Systems does not guarantee:

  • Specific business results, revenue increases, or search rankings;

  • Error-free code, uninterrupted operation, or compatibility with all systems;

  • That security breaches or data loss will never occur.

You assume full responsibility for the outcomes of using our Services.


13. Termination

We reserve the right to terminate your access to the Services if you:

  • Breach these Terms;

  • Fail to make timely payments;

  • Engage in fraudulent, abusive, or unlawful activity.

Upon termination:

  • Access to your account and data may be disabled.

  • Outstanding fees remain payable.

  • Certain provisions (confidentiality, IP, limitation of liability) will continue in effect.


14. Modifications to Terms

We may revise these Terms periodically.
When updates are made, the “Last Updated” date will change, and significant updates may be communicated via email.

Continued use of our Services after any modification constitutes acceptance of the revised Terms.


15. Governing Law

These Terms are governed by the laws of the Province of Alberta and the applicable laws of Canada.
Any disputes shall be resolved exclusively in the courts of Edmonton, Alberta.
